UK Limited Liability Partnership

The United Kingdom Limited Liability Partnership (LLP) is governed by the Limited Liability Partnerships Act 2000 and has been one of the most widely used structures for professional service firms, investment platforms, and commercial partnerships since its introduction. A UK LLP is a body corporate with separate legal personality distinct from its members, meaning it can own property, enter into contracts, sue and be sued, and continue to exist independently of any changes in its membership. A UK LLP requires a minimum of two designated members, who are responsible for filing annual accounts, annual confirmation statements, and notifying Companies House of any changes to the LLP's registered particulars.

The UK LLP is highly flexible in terms of internal governance: members' rights and obligations are governed by the LLP Agreement, which is a private document not filed at Companies House, allowing members to structure profit sharing, capital contributions, management rights, voting rights, and exit provisions entirely as they choose. For United Kingdom tax purposes, a UK LLP is treated as tax transparent: the LLP itself is not subject to UK corporation tax, and each member is individually taxed on their allocated share of the LLP's income and gains at their applicable personal or corporate tax rate, making the UK LLP particularly attractive for fund structures, co-investment platforms, and professional partnerships.

Separate Legal Personality

A UK LLP is incorporated as a body corporate with separate legal personality, meaning it is legally distinct from its members and can own assets, enter contracts, and continue to exist independently of changes in membership, unlike an ordinary partnership.

Tax Transparent (Partners Taxed Individually)

The UK LLP is tax transparent for UK tax purposes and is not itself subject to UK corporation tax. Each member is taxed individually on their share of the LLP's profits and gains at their applicable personal or corporate income tax rate, avoiding entity-level taxation.

LLP Agreement Flexibility

The LLP Agreement is a private document governing all aspects of the internal relationship between members, including capital contributions, profit allocations, management rights, voting, and exit provisions, with no requirement to file or publicly disclose its terms.

Designated Member Requirements

A UK LLP must have at least two designated members at all times who are responsible for filing annual accounts, confirmation statements, and all notifications of changes in the LLP's registered particulars with Companies House under the Limited Liability Partnerships Act 2000.
