Neptune Fiduciaries Group works with operators exploring one of the most unusual structures in the global gaming landscape: Costa Rica has no national gaming regulator and requires no Costa Rica Gaming and Gambling Licence at all. Online gaming and gambling companies have operated from San José since the 1990s under a legal mechanism that classifies their activity as data processing rather than gambling, and because Costa Rican law does not extend jurisdiction over gambling transactions processed on behalf of players outside its borders, no specific gaming or gambling regulation applies to either vertical.
The practical structure is a Sociedad Anónima (SA), the standard Costa Rican limited company, registered through the Registro Nacional with a business purpose stated as data processing, software services, or online entertainment. This applies equally whether the underlying product is gaming (casino, slots, poker platforms) or gambling (sports betting, wagering products); the SA structure does not distinguish between the two, since neither is licensed or regulated as such. The entity can then operate an online gaming or gambling platform targeting international markets without any regulatory licence to obtain, no ongoing gaming-specific reporting obligations, and no gaming tax on offshore-derived revenues.
This model comes with a material limitation that operators should understand before choosing it: the absence of a regulated-jurisdiction credential creates friction with payment processors, banking partners, and software suppliers who apply enhanced due diligence to unlicensed operators. A Costa Rica Gaming License or Costa Rica Gambling License structure is most commonly used as a cost-efficient starting point for founders building volume before committing to the higher compliance cost of a regulated licence, or as a secondary structure by operators whose primary regulatory registration is held elsewhere.
At Neptune Fiduciaries Group, we assist gaming and gambling operators, investors, and entrepreneurs in incorporating the right entity structure and understanding exactly what this model does and does not cover.
How It Works
No gaming licence required; operators register as data processing companies under commercial law via the Registro Nacional de Costa Rica.
Government Registration Fee
Approximately USD 1,500–2,000 for incorporation of a Sociedad Anónima; no gaming licence application fee exists because no gaming licence is issued.
Gaming Tax on Offshore Revenue
None; Costa Rica does not tax or regulate revenues derived from players located outside its borders.
Incorporation Timeline
SA registration is typically completed in 2–6 weeks; there is no regulatory review process beyond standard company formation.
Restriction on Serving Local Players
The data-processing model only holds where operations target players outside Costa Rica; offering gaming or gambling services to Costa Rican residents is not covered by this framework.
A Costa Rica Gaming and Gambling Licence structure is more accurate; a data-processing incorporation offers the lowest-cost, fastest entry point in the offshore gaming and gambling world, at the trade-off of reduced credibility with payment partners compared to a regulated jurisdiction like Malta, the UK, or Gibraltar.
